TERMS OF SERVICE — AgendaMED (operated by Skyred Digital LLC) 1. THE SERVICE. AgendaMED is a SaaS management platform for clinics and health centers: scheduling, patient records, communications, payments and AI assistants. It is offered by subscription, per clinic (organization), according to the plan and price in effect for its country. 2. THE ACCOUNT. The clinic is responsible for its users, credentials and its staff's use of the platform. Two-step verification is mandatory. The clinic warrants that its registration information is truthful. 3. ACCEPTABLE USE. The platform may not be used for illegal activities, to send unconsented communications (spam), or to infringe third-party rights. AgendaMED may suspend accounts in case of abuse, fraud, or risk to the platform or other clinics. 4. DATA. Each clinic is the controller of its patients' data; AgendaMED acts as processor under the data-processing addendum for its country (DPA in Chile, BAA in the U.S., LGPD Addendum in Brazil), which is an integral part of these terms. The clinic's data belongs to the clinic: it can be exported at any time. 5. PAYMENTS, REFUNDS AND CANCELLATION. The subscription is charged in advance (monthly or annually) through the country's payment gateway. Upgrades take effect immediately with proration; downgrades at the end of the paid period. Non-payment may suspend the service after notice. Free trial, cancellation and refunds are governed by our Refund & Cancellation Policy (agendamed.app/reembolsos). Complimentary or promotional plans: AgendaMED may grant, at its sole discretion, complimentary (free of charge) or discounted plans or modules, for a fixed or indefinite period. These benefits do not create a vested right or an obligation to maintain them: AgendaMED may modify, reduce or terminate them at any time and begin charging the then-current plan price, with at least 15 days' notice through the panel or by email. If the clinic does not wish to continue on the paid plan, it may cancel before the first charge without any penalty, retaining its right to export its data; if it continues using the service after the notice period, the current price will apply. 6. AVAILABILITY AND SUPPORT. AgendaMED is provided "as is," with commercially reasonable availability efforts and a support channel within the panel. Maintenance is performed with the least possible impact. 7. INTELLECTUAL PROPERTY. The platform, its code and its trademarks belong to Skyred Digital LLC (AgendaMED). The data and content uploaded by the clinic belong to the clinic. 8. LIMITATION OF LIABILITY. To the maximum extent permitted by law, AgendaMED's total liability is limited to the amounts paid by the clinic in the 12 months prior to the event. AgendaMED is not liable for lost profits or indirect damages. 9. TERM. The clinic may terminate its subscription at any time (in effect until the end of the paid period). Upon termination, it has a grace period to export its data; thereafter data is deleted or anonymized, unless a legal retention obligation applies. 10. CHANGES. AgendaMED may update these terms; material changes will be notified in the panel and will require new acceptance. 11. OPERATOR, GOVERNING LAW AND CONTACT. AgendaMED is operated by Skyred Digital LLC. These terms are governed by applicable United States law and the laws of the jurisdiction where Skyred Digital LLC is organized, without prejudice to the mandatory consumer-protection and data-protection rules of the clinic's country. EL SERVICIO. AgendaMED es una plataforma SaaS de gestión para clínicas y centros de salud: agenda, fichas de pacientes, comunicaciones, cobros y asistentes de IA. Se contrata por suscripción, por clínica (organización), según el plan y precio vigentes para su país. 2. LA CUENTA. La clínica es responsable de sus usuarios, credenciales y del uso que su personal haga de la plataforma. La verificación en dos pasos es obligatoria. La clínica garantiza que la información de registro es veraz. 3. USO ACEPTABLE. La plataforma no puede usarse para actividades ilegales, para enviar comunicaciones no consentidas (spam) ni para vulnerar derechos de terceros. AgendaMED puede suspender cuentas ante abuso, fraude o riesgo para la plataforma u otras clínicas. 4. DATOS. Cada clínica es responsable del tratamiento de los datos de sus pacientes; AgendaMED actúa como encargado/operador conforme al anexo de tratamiento de datos de su país (DPA en Chile, BAA en EE. UU., Anexo LGPD en Brasil), que forma parte integrante de estos términos. Los datos de la clínica le pertenecen: puede exportarlos en todo momento. 5. PAGOS, REEMBOLSOS Y CANCELACIÓN. La suscripción se cobra por adelantado (mensual o anual) mediante la pasarela del país. Los upgrades rigen de inmediato con prorrateo; los downgrades, al término del período pagado. La falta de pago puede suspender el servicio previa notificación. La prueba gratuita, la cancelación y los reembolsos se rigen por nuestra Política de Reembolsos (agendamed.app/reembolsos). Planes de cortesía o promocionales: AgendaMED puede otorgar, a su sola discreción, planes o módulos de cortesía (sin costo) o con precio rebajado, por un período determinado o indefinido. Estos beneficios no constituyen un derecho adquirido ni una obligación de mantenerlos: AgendaMED puede modificarlos, reducirlos o terminarlos en cualquier momento y comenzar a cobrar el precio del plan vigente, avisando con al menos 15 días de anticipación a través del panel o por correo. Si la clínica no desea continuar con el plan pagado, puede cancelar antes del primer cobro sin penalidad alguna, conservando su derecho a exportar sus datos; si continúa usando el servicio vencido el aviso, se aplicará el precio vigente. 6. DISPONIBILIDAD Y SOPORTE. AgendaMED se presta "tal cual", con esfuerzos comerciales razonables de disponibilidad y un canal de soporte dentro del panel. Se realizarán mantenciones con el menor impacto posible. 7. PROPIEDAD INTELECTUAL. La plataforma, su código y sus marcas son de Skyred Digital LLC (AgendaMED). Los datos y contenidos cargados por la clínica son de la clínica. 8. LIMITACIÓN DE RESPONSABILIDAD. En la máxima medida legal, la responsabilidad total de AgendaMED se limita a los montos pagados por la clínica en los 12 meses previos al hecho. AgendaMED no responde por lucro cesante ni daños indirectos. 9. TÉRMINO. La clínica puede terminar su suscripción en cualquier momento (rige hasta el fin del período pagado). Al término, dispone de un plazo de gracia para exportar sus datos; luego se suprimen o anonimizan, salvo obligación legal de conservación. 10. CAMBIOS. AgendaMED puede actualizar estos términos; los cambios sustanciales se notificarán en el panel y requerirán nueva aceptación. 11. OPERADOR, LEY APLICABLE Y CONTACTO. AgendaMED es operado por Skyred Digital LLC. Estos términos se rigen por la ley aplicable de los Estados Unidos y la jurisdicción donde está constituida Skyred Digital LLC, sin perjuicio de las normas imperativas de protección al consumidor y de datos del país de la clínica.
